Mike Mercer.
These Official Sweepstakes Rules (the "Rules") govern all Sweepstakes and Giveaways ("Sweepstakes") conducted by Double M Photography, LLC on behalf of Mike Mercer, and constitute a legally binding contract between you and the Sponsor(s) regarding current and future Sweepstakes. By participating, you accept and agree to these Rules and represent that you have the right, authority, and capacity to do so. You may not enter if you do not agree to be bound by these Rules. These Rules apply to each sweepstakes together with the details published in that Instagram post. Each sweepstakes is subject to applicable federal, state, provincial, territorial, municipal, and local laws and regulations and is void where prohibited. The version of these Rules in effect when the sweepstakes post is published governs that Sweepstakes, subject only to lawful changes necessary for its administration.
NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.
Individual Sweepstakes. These Rules establish the general conditions for all sweepstakes. Refer to the individual sweepstakes rules for its end date, exact entry instructions, prize name and information, prize value, any alternate prize option, and any additional requirements or entry limits. Each sweepstakes is separate. Entry forms, social media tasks (for example, Instagram likes, comments, tags, and shares), and other non-monetary considerations associated with one sweepstakes do not count toward another sweepstakes.
Notification of Sweepstakes. All Sweepstakes are posted to the Official Mike Mercer Instagram account (https://www.instagram.com/mikemercerofficial). The Instagram post announcing each sweepstakes provides: its end date, prize description and information, prize value, and any alternate prize option; the required entry steps (for example, it may require additional Instagram accounts to be followed, require tags or particular comments, identify the required sharing method, and impose additional entry limits); and other applicable rules, terms, and/or conditions.
Prizes. The exact prize description, quantity, number of winners, approximate retail value ("ARV"), valuation currency, and any maximum prize value will be stated in the Instagram post description. Only the items and expenses expressly included in the Instagram post description are included in the prize. Unless expressly included in the Instagram post description, upgrades, parking, transportation, travel, lodging, merchandise, food, beverages, incidental expenses, and other accommodations are not included and are the winner's responsibility. Any shipping, handling, ticket fees, taxes, duties, or similar charges payable by Sponsor(s) or the winner will be identified in the Instagram post description where applicable. Prizes are not transferable, exchangeable, or redeemable for cash except where an alternative is expressly offered in the Instagram post description. Unused portions of a prize have no cash value and are not transferable or exchangeable. If an advertised prize or component becomes unavailable for reasons beyond Sponsor's reasonable control, Sponsor may substitute a prize or component of equal or greater value, subject to applicable law.
Event Prizes. For a festival, concert, or event prize, the winner and any guest must satisfy the applicable age, admission, identification, safety, and ticketing requirements. Tickets do not include backstage access, media credentials, meet-and-greets, or other privileges unless expressly stated. Event dates, locations, and schedules are subject to the organizer's terms. If a prize allows the winner to choose an event, the selection deadline, availability restrictions, maximum value, eligible events, and any cancellation or postponement conditions will be stated in the Instagram post description, as applicable. Sold-out, waitlisted, or otherwise unavailable events are not eligible unless the Instagram post description expressly provides otherwise, and the winner will be required to select another event or accept a cash offer equal to the ARV.
Approximate Retail Value. The ARV is an estimate based on the information available when the Instagram post is published. ARV is based on commercial rates available to the general public, and actual value may vary. ARV is expressed in United States Dollars (USD). Unless otherwise expressly stated, a winner will not receive the difference between the stated ARV and a lower actual value. No more than the number of prizes stated in the Instagram post description will be awarded; however, the Sponsor(s) reserve the right to award additional prizes at their sole discretion and without notice.
Cash Alternatives. There is no cash or other elective alternative unless expressly offered in the Instagram post description or outlined in these Rules. If an alternative is offered, the post description will state its amount, election deadline, and conditions. All cash alternatives are in United States Dollars. There will be no cash payment. A gift card will be issued in the cash amount. Gift cards are subject to their issuer's applicable terms and restrictions, as disclosed in the Instagram post description. A winner who elects an alternative forfeits the right to the original prize and receives only the stated alternative. The alternative does not entitle the winner to the difference between its value and the value of the original prize.
Eligibility. To be eligible, an entrant must satisfy every step listed in the Instagram post's description by the end of the entry period. Unless the Instagram post description expressly establishes different eligibility requirements, a Sweepstakes is open only to legal residents of the United States and the District of Columbia, excluding Puerto Rico, Guam, and other U.S. territories, and legal residents of Canada. Entrants must be at least 16 years of age or have reached the age of majority in their jurisdiction of residence at the time of entry and must have an Instagram account. A valid email address may be required for winner verification or prize fulfillment. Employees, owners, officers, directors, agents, independent contractors, interns, and persons directly involved in sponsoring, administering, advertising, or fulfilling the Sweepstakes are not eligible. Their immediate family members (spouse, domestic partner, parent, child, sibling) and members of their households are also not eligible. Sponsor may require proof of identity, age, residency, and compliance with the Rules before awarding a prize.
Methods of Entry. Each sweepstakes uses either an entry form or Instagram participation, as identified in the description of the Instagram post announcing the sweepstakes. Entrants must use the method identified in that post and satisfy all applicable eligibility requirements. Every sweepstakes requires following the Sponsor(s) of the Sweepstakes. This minimum requirement applies even if inadvertently omitted from the post description. No purchase or payment is required.
Entry via Entry Form. If the Instagram post directs entrants to an entry form, an eligible person enters by accurately completing and submitting that form during the entry period. Each eligible person receives one (1) entry. There is a limit of one (1) entry per person, regardless of the number of form submissions. Each eligible person must have an Instagram account and follow the Sponsor(s) of the Sweepstakes. Liking, commenting, tagging, and sharing are not required and do not earn additional entries for an entry-form sweepstakes. An incomplete, inaccurate, or untimely form submission is not eligible. Potential winners will be contacted using the email address provided on the form. The notification, response, and documentation deadlines in these Rules remain applicable.
Entry via Instagram. If the Instagram post instructs entrants to participate through Instagram, each entrant must follow the account(s) listed in the post description, like that post, comment on that post, and share that post. The entrant must also complete any additional steps listed in the post description, including following other accounts or tagging other Instagram users in the comments. Additional comments, tags, and shares are optional. There is no overall entry limit unless the Instagram post description states otherwise; however, a daily Story-share limit applies.
Entry Period. A Sweepstakes officially begins when its announcing post is published on Instagram. The date and time of publication mark the opening of its entry period. The Sweepstakes ends on the date stated in that post's description, at 11:59 p.m. Eastern Time. Instagram's recorded publication and activity times, together with verifiable records of the entrant's actions, will be used to determine whether an action was completed during the Entry Period.
Drawing. After the entry period ends, Sponsor will verify eligibility and count valid entries. Unless the Instagram post states otherwise, one (1) potential winner will be selected by a computer-generated random drawing within five (5) business days after the deadline. If the post identifies multiple winners, prizes, or a different drawing date after the deadline, those details apply. Selection in a drawing does not establish a right to a prize. A selected entrant (a "Potential Winner") must satisfy the eligibility, verification, response, and documentation requirements before becoming a confirmed winner.
Odds of Winning. The odds of winning depend on the total number of valid entries, the number of prizes, and the entrant's number of valid entries. Each valid entry has an equal chance of selection. The drawing will account for the total number of valid entries earned by each eligible entrant. More valid entries provide more chances of selection, but do not guarantee a win. An entrant who fails to complete all required steps has no valid entries and no chance of winning. Unless the Instagram post states otherwise, there is a limit of one (1) prize per person per sweepstakes; and there is a limit of three (3) prizes per person per 12-month period.
Entry Requirements. Required forms, likes, comments, tags, and shares must be completed during the Entry Period. Actions completed after the deadline do not count. Every sweepstakes requires the entrant to follow @mikemercerofficial on Instagram and, when instructed in its description: follow other Instagram accounts; like the Instagram post announcing the sweepstakes; comment on that Instagram post; tag other Instagram users in the comments; and complete any additional required steps. An existing follow of a required account satisfies the follow requirement if that account remains followed when the entry period ends. All required steps must be satisfied before the deadline.
Entry Counting. Only forms, likes, comments, tags, and shares completed during the Entry Period earn entries. Each point equals one (1) entry into the random drawing. Subject to completion of every required step, entries are awarded as follows:
All required steps must be satisfied before the entry period ends. There is no overall entry limit unless the Instagram post's description states one. Any limit stated in the description applies as stated, including any limit on particular actions. Comments and tagged users must be unique for each entrant. Duplicating the record of an existing action does not make it a new action. For the daily Story-share limit: a day is a calendar day beginning at 12:00 a.m. and ending at 11:59 p.m. Eastern Time; the limit applies regardless of the absence of an overall limit; a post may impose a lower limit on Story-share entries; and multiple Story shares on the same day earn only one (1) Story-share entry. Following required accounts is a condition of eligibility and does not earn entries. All required accounts must be followed when the entry period ends. The required like and comment must also be present when the entry period ends. A Story share that expires normally before the deadline still counts if its timely completion can be verified. Removing and restoring a like does not earn another entry.
Verification of Entry Actions. Sponsor(s) may verify required follows, the post like, comments, tags, and shares before the drawing or before confirming a winner. Entrants must be able to provide reasonable proof of actions Sponsor(s) cannot otherwise verify, including shares from private accounts and Stories that have expired. Proof may include screenshots showing the entrant's username, the sweepstakes post shared, and the date or time of the action. Private accounts are not automatically ineligible, but Sponsor(s) must be able to verify completion of every required step and any claimed additional entries. A claimed action that cannot be verified will not earn an entry. If Sponsor cannot verify a required step, the entrant is ineligible and all claimed entries are invalid.
Communication. By participating, entrants agree that Sponsor(s) may contact them through Instagram, or through contact information they provide, to administer the Sweepstakes, verify actions and eligibility, notify potential winners, and fulfill prizes. These methods of communication are mandatory and there is no option to opt out of required Sweepstakes communication. Entrants are responsible for monitoring their Instagram direct messages and message requests and, if an email address is provided, their inbox and spam folders. Participation does not require agreeing to marketing emails. Optional marketing subscriptions do not earn entries or affect eligibility or the odds of winning.
Notification and Response Deadlines. Sponsor(s) will attempt to notify each Potential Winner within five (5) business days after the drawing by direct message, or through another notification method identified in the post. An email address may be requested to complete verification or prize fulfillment. The Potential Winner must respond within two (2) calendar days after the notification is sent. A Potential Winner who does not timely respond forfeits the prize, subject to applicable law. Sponsor(s) may select an alternate potential winner (an "Alternate Potential Winner") at random from the remaining valid entries of eligible entrants. Sponsor(s) will contact no more than one (1) Alternate Potential Winner for each prize. The same notification, response, verification, and documentation requirements apply to an Alternate Potential Winner. If neither the Potential Winner nor the Alternate Potential Winner satisfies the requirements, the prize may remain unawarded where permitted by law. The ARV of any unawarded prize will be reserved by the Sponsor(s) and applied towards another Sweepstakes. Sponsor(s) will make any additional selection or award efforts required by applicable law.
Winner Verification. Sponsor(s) may require a Potential Winner or Alternate Potential Winner to provide proof of eligibility, a valid government-issued photo identification, an affidavit or declaration of eligibility, and a liability or publicity release, except where prohibited by law. Required documents must be completed and returned within five (5) calendar days after Sponsor sends the documentation request. This deadline is separate from the initial two (2) calendar-day response deadline following winner notification. Failure to provide the required documentation within the applicable deadline may result in forfeiture and alternate selection under the notification and alternate-selection provisions of these Rules.
Disqualification, Ineligibility, and Forfeiture. A Potential Winner or Alternate Potential Winner may forfeit the prize if found ineligible or not in compliance with the Rules, if the prize is declined, if notification is undeliverable, if Sponsor(s) cannot verify the entry or eligibility, or if the applicable response, documentation, acceptance, or redemption deadline is not met. Sponsor(s) may disqualify a Potential Winner or Alternate Potential Winner if Sponsor(s) reasonably determines that participation in prize fulfillment would pose a safety or security concern to an individual involved, or that receipt of the prize or related publicity would materially harm the business or reputation of Sponsor(s) or an identified participating organization. Sponsor(s) may reject entries or disqualify an entrant for any of the following, subject to applicable law:
Such conduct may void all of the person's entries in the affected sweepstakes and may result in exclusion from future sweepstakes, where permitted by law. Sponsor may seek available legal remedies for deliberate interference with a sweepstakes.
Nullification. Failure to complete any required step makes the entrant ineligible and invalidates all of that entrant's entries for the sweepstakes. None of the entrant's likes, comments, tags, shares, or other actions will count if even one required step is missing. Completing optional actions does not excuse failure to complete a required step. Actions completed earlier in the entry period may count once all required steps are completed before the deadline. Any entry earned by any person who, at the time of entry, is under the age of majority in their jurisdiction of residence, excluding a minor at least 16 years of age or older, with the express consent of a parent or legal guardian, is null and void.
Delivery and Fulfillment. Prizes may be delivered by shipment, email, electronic ticket transfer, gift card delivery, pickup, or another method identified in the Instagram post description. Unless the Instagram post states otherwise, Sponsor will arrange fulfillment within thirty (30) calendar days after the winner is confirmed; however, items that are in pre-order will be delivered as soon after production as possible, and winners of tickets or wristbands or other event items will receive the prize once the event or venue makes the item available. Winners of physical prizes must provide a physical mailing address within the United States or Canada. Delivery to PO Box, APO, FPO, or DPO addresses is not available. The winner must provide accurate delivery and fulfillment information, including a name, address, email address, and phone number as reasonably required. Failure to provide an eligible mailing address within the required response period will result in forfeiture of the prize. Sponsor(s) is not responsible for delivery failures caused by inaccurate information, failure to accept a transfer, or failure to meet a disclosed fulfillment deadline, and is not responsible for loss, theft, damage, or delay caused by a carrier, ticketing platform, or other third party beyond Sponsor(s)'s reasonable control. Sponsor(s) will provide available shipment or transfer confirmation and reasonably assist with a reported delivery problem.
Taxes. Sponsor(s) may require tax documentation, specifically but not limited to IRS Form W-9, needed to fulfill applicable reporting obligations as required by local, state, and/or federal law. Winners are responsible for applicable federal, state, provincial, territorial, and local taxes associated with accepting a prize. Sponsor(s) will not withhold taxes from prize; this is the sole responsibility of the winner. Sponsor(s) will report prize payments or values of $2,000.00 or more, per calendar year, and complete IRS Form 1099-MISC, for US residents, as required by law. Prize winners who are not US citizens are required to complete and submit to Sponsor(s) IRS Form W-8BEN. Reporting thresholds, aggregation requirements, forms, and withholding obligations are determined by the law applicable when a prize is awarded or paid; these Rules do not establish a fixed dollar threshold. A prize may be taxable even if no information return is required.
Privacy and Publicity. Information collected in connection with a sweepstakes will be used to administer the sweepstakes, verify entries and eligibility, contact potential winners, satisfy legal obligations, and fulfill prizes. Sponsor may provide necessary information to identified administrators, prize providers, delivery services, and other service providers for those purposes. Accepting a prize constitutes permission for Sponsor(s) to announce the winner's name or social media username, city and state or province of residence, and prize won in connection with the sweepstakes without additional compensation. Any broader use of a winner's photograph, likeness, voice, statements, or other publicity materials requires separate express permission, subject to applicable law. Taxpayer identification numbers, identification documents, full mailing addresses, and other sensitive verification information will not be included in a public winner announcement and shall only be retained for as long as necessary or legally required.
Cancellation, Suspension, and Permitted Changes. If fraud, technical failures, unauthorized intervention, an event cancellation, or another circumstance beyond Sponsor(s)'s reasonable control prevents a sweepstakes from being conducted as planned, Sponsor(s) may cancel, terminate, modify, or suspend the affected sweepstakes to the extent permitted by applicable law. Sponsor(s) will publish notice of a material change in the description of the affected Instagram post and provide any additional notice required by law. Sponsor(s) may select winners from eligible entries received before the interruption or use another fair procedure permitted by law and disclosed in the notice. Any substitute prize or component must comply with the prize-substitution provisions of these Rules. This provision does not authorize arbitrary changes to entry limits, eligibility, odds, or prize obligations after a sweepstakes begins. Corrections and changes must preserve the lawful and fair administration of the sweepstakes and comply with any applicable approval, notice, registration, or award requirements.
RELEASE AND INDEMNIFICATION. BY ENTERING, YOU AGREE TO COMPLY WITH THE RULES AND APPLICABLE LAW AND TO ACCEPT SPONSOR(S)'S LAWFUL DECISIONS CONCERNING ADMINISTRATION, ELIGIBILITY, ENTRY VERIFICATION, AND WINNER SELECTION AS FINAL AND BINDING, SUBJECT TO ANY RIGHTS OR REMEDIES THAT CANNOT BE WAIVED. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND HOLD HARMLESS THE RELEASED PARTIES FROM CLAIMS, LOSSES, LIABILITIES, DAMAGES, AND EXPENSES ARISING OUT OF YOUR PARTICIPATION IN THE SWEEPSTAKES OR ACCEPTANCE, USE, OR MISUSE OF A PRIZE. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS THE RELEASED PARTIES FROM THIRD-PARTY CLAIMS AND REASONABLE RELATED EXPENSES ARISING FROM YOUR FRAUD, WILLFUL MISCONDUCT, INFRINGEMENT OF ANOTHER PERSON'S RIGHTS, OR MATERIAL VIOLATION OF THE RULES. THESE PROVISIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE RELEASED OR TRANSFERRED.
LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, SPONSOR, PARTICIPATING SPONSORS, ADMINISTRATORS, PRIZE PROVIDERS, AND THE PERSONS AND ORGANIZATIONS RESPONSIBLE FOR SPONSORING, FULFILLING, ADMINISTERING, OR ADVERTISING THE APPLICABLE SWEEPSTAKES, TOGETHER WITH THEIR RESPECTIVE OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE "RELEASED PARTIES"), ARE NOT RESPONSIBLE FOR LOST, LATE, INCOMPLETE, MISDIRECTED, CORRUPTED, OR UNDELIVERABLE ENTRIES OR COMMUNICATIONS; EQUIPMENT, NETWORK, INTERNET, SOFTWARE, OR PLATFORM FAILURES; UNAUTHORIZED INTERVENTION; INACCURATE CAPTURE OR LOSS OF ENTRY INFORMATION; OR TECHNICAL, TYPOGRAPHICAL, PRINTING, OR ADMINISTRATIVE ERRORS BEYOND THEIR REASONABLE CONTROL. IF AN ELIGIBLE ENTRY IS CONFIRMED TO HAVE BEEN ERRONEOUSLY LOST, DELETED, CORRUPTED, OR OTHERWISE DESTROYED, SPONSOR MAY PERMIT A REPLACEMENT ENTRY INTO THE SAME SWEEPSTAKES WHERE PRACTICABLE AND LAWFUL. THIS PROVISION DOES NOT GUARANTEE ENTRY INTO ANOTHER SWEEPSTAKES OR RESTRICT A REMEDY REQUIRED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR PUNITIVE, INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF PARTICIPATION IN A SWEEPSTAKES OR ACCEPTANCE, USE, OR MISUSE OF A PRIZE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, AND THOSE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU.
Dispute Resolution and Governing Law. THIS SECTION CONTAINS AN ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. Any and all disputes, claims, and causes of action arising out of the Rules, an applicable sweepstakes, or a prize awarded or not awarded will be resolved on an individual basis by binding arbitration before a single neutral arbitrator administered by the American Arbitration Association under its applicable arbitration rules in effect when the arbitration is commenced. The arbitration must be conducted in person. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Johnston County, North Carolina. The arbitrator may award relief available under applicable law, subject to enforceable limitations in the Rules. Fees and costs will be allocated under the applicable rules and law. The arbitrator will make a decision in writing, and the decision shall be final. To the fullest extent permitted by law, neither party may pursue a dispute as a class, collective, or representative action. Nothing in this section restricts statutory remedies, recoverable fees, or other rights that cannot lawfully be waived. The Rules and disputes concerning them are governed by North Carolina law, without giving effect to conflict-of-law principles that would require application of another jurisdiction's law, except that applicable federal arbitration law and mandatory protections of an entrant's jurisdiction remain applicable. For disputes arising from a sweepstakes, this section controls over conflicting dispute-resolution or governing-law provisions in Sponsor(s)'s general website terms.
Miscellaneous. These Rules, together with the details in the applicable Instagram post description, constitute the agreement concerning that Sweepstakes. Sponsor(s)'s failure to enforce a provision does not waive the right to enforce it later. If a provision is held unlawful or unenforceable, the remaining provisions remain effective to the extent permitted by law. Headings are provided for convenience.
Winner Information. To request the applicable winner information, contact sweepstakes@mikemercerofficial.com and identify the Sweepstakes. Sponsor(s) will provide winner information and make any public disclosures required by applicable law. Disclosure will be limited to information appropriate for that purpose and consistent with applicable privacy requirements.
Sponsor(s). Unless otherwise expressly identified in the Instagram post description, the sponsor and administrator is Double M Photography, LLC on behalf of Mike Mercer (the "Sponsor"). Any additional sponsors or administrators, and their roles, will be identified in the Instagram post description. References to "Sponsor(s)" include additional identified sponsors where the context requires. The identification of a festival, concert, event, artist, manufacturer, retailer, ticketing service, prize provider, affiliate partner, or other third party does not, by itself, mean that the third party sponsors, endorses, or administers the Sweepstakes. Any such relationship will be expressly identified in the Instagram post description. Each Sweepstakes promoted or administered through Instagram is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta. To the fullest extent permitted by law, each entrant releases Instagram and Meta from liability arising out of or relating to that Sweepstakes. Instagram activity is processed by Instagram under its terms and policies and use of Instagram remains subject to its applicable terms and policies.
